Although Penn's stand up striking is better than Hughes', who has worked hard on that area BTW, Bj Penn will not be able to avoid being taken down by Hughes. GSP managed to take him down several times. Hughes, has gotten very good at submissions and BJJ since the last time theymet, so Penn submitting Hughes is unlikely, especially from his back, since thats where hughes will put him.
In their first fight, the way Penn won was fluky. What happened was that Hughes had terrible stand up back then, and Penn threw his punches and somehow, Hughes fell down and Penn got on top. Since Penn had much superior BJJ at the time, he passed his guard, landed good shots on hughes, then had landed a HUGE punch to Matt, who then gave up his back and lost.
But this time, i dont think Penn will knock Hughes down and put him on his back. Cuz he certainly cant take Matt down. If Matt fights smart and doesnt stand with Penn for too long, takes him down, passes guard, or tries to, dishes out his GnP, and keeps on trying to pass guard which he eventually will, Penn can be submitted.
The only way i can see Penn winning is from a upset TKO that begins standing. But i think Hughes has enough Muay thai skills to neutralize Penn striking. On the ground, i think Hughes will have the edge. And if the fight goes the distance, which is very possible since BJ has good defense from guard, i can guarantee Hughes will win.
